KTK Advocates advises clients on structures and models of their companies through mergers and acquisitions, privatization, take-overs, company sales and purchase, corporate restructuring, schemes of arrangement, due diligence investigations, the duties and responsibilities of directors and the statutory and regulatory environment affecting listed companies.

KTK advises clients on Capital Markets issues ranging from bonds, initial public offerings, rights issues and secondary offers of securities. We carry out legal due diligence exercise, review and assist in the drafting of prospectuses or memoranda to ensure compliance with the relevant legislation and prepare legal opinions.

Our firm also offers legal advisory on listings, capital raisings, take-overs, mergers, reconstructions, demergers and acquisitions of companies and institutions listed on the Nairobi Stock Exchange.

We offer legal advisory on securitization transaction, which entails pooling of real estate receivables and repackaging them into asset backed securities.

The Firm has undertaken the following legal assignments, in this practice area, among others, in the last few years:

  1. Provision of Legal Advisory Services to the Government of Kenya; the Firm was part of a Consortium of legal firms, which successfully bid to provide Legal Advisory Services for the IPO of 25% of Safaricom Limited in 2007. The Consortium provided the core transactional and legal advisory services. Which included but were not limited to; preparation of the legal due diligence report on Safaricom Limited, ensuring that all the requisite information under the Companies Act, the Nairobi Stock Exchange (NSE) Rules and Regulations, the Capital Markets Act, among other legal statutes and regulations, was included in the prospectus, prepare revised memorandum and articles of association of Safaricom Limited for adoption prior to the IPO and liaising with the Capital Markets Authority (CMA) and NSE to ensure final approval of the final form of the prospectus, abridged prospectus and share application form, among other ancillary legal services. The Firm, as part of the consortium of legal advisers, successfully carried out its part and as a result the IPO was a massive success.
